Legal Authority:

The Board of Supervisors created and established a Hospital Authority pursuant to Section 101853 of the Health and Safety Code, as provided by and subject to the terms and conditions of Ordinance A-356, effective November 6, 2015, and added to Kern County Ordinance Code as Section 2.170 of Title 2; Ordinance A-357, effective April 8, 2016, amended Section 2.170.104 concerning dissolution of the authority and Section 2.170.080 regarding joint ventures with a private nongovernmental entity or individual; Ordinance A-359, effective January 13, 2017, amended Section 2.170.060 to include a designee for the County Administrative Officer (ex-officio) board member position; and Ordinance A-360, effective January 20, 2017, amended Section 2.170.070 and Section 2.170.180 adding the power to retain legal counsel.

Membership Qualifications:

The Kern County Hospital Authority Board of Governors shall be made up of seven (7) voting members consisting of • the County Administrative Officer or designee (ex-officio) • one (1) member of the Kern Medical Center medical staff • five (5) members of the community at large. The Medical Staff and Community At-large Members shall be appointed by the Board of Supervisors. The Community At-large members shall not be physicians.

Term:

Each member, other than the ex-officio member, shall hold office for a term of three (3) years.

Duties:

Subject to the provisions in Chapter 5.5 (commencing with Section 101852) of Part 4 of Division 101 of the Health and Safety Code, the Enabling Ordinance, and the provisions of the Bylaws for Governance requiring certain actions to be approved by the Board of Supervisors, the activities and affairs of this Hospital Authority shall be managed, and all of its legal powers shall be exercised by or under the direction of the Board of Governors of the Hospital Authority, and shall include authority and responsibility, without limitation, for the maintenance, operation, management, and control of the Kern Medical Center and related health care resources transferred to its ownership and control by the County of Kern.

Meeting Place and Time:

The Board of Governors shall, by resolution adopted on the first day it meets, and annually thereafter on the last day of each calendar year in which it meets, establish a schedule to conduct regular meetings. The schedule of regular meetings may be modified by resolution duly adopted by the Board of Governors from time to time. Regular meetings shall be held not less frequently than quarterly, in the administrative offices of the Hospital Authority located at 1700 Mount Vernon Avenue, Bakersfield, California 93306, or at such other location within the County of Kern designated by the Board of Governors.

Compensation:

Members may be reimbursed for actual and reasonable expenses incurred in the performance of official business of the Hospital Authority as assigned by the Board of Governors. Members shall not receive any other compensation for their service on the Board of Governors or committees.

Ethics Training:

Pursuant to State law, any person newly appointed shall successfully complete a course in ethics training approved by the Fair Political Practices Commission and Attorney General. Each member is required to complete this training every two years.
